TERMS AND CONDITIONS OF SALE:

1) Prices shown in our price lists are non-binding and may be updated to current production costs on the day of shipment.

2) All orders are subject to the approval of our Company. By placing an order, the customer acknowledges that he/she has read and accepted our general terms and conditions.

3) Orders, even if confirmed, shall be deemed accepted with the right of total or partial cancellation in relation to the regular supply of raw materials or due to force majeure or otherwise unforeseeable causes.

4) It is our right to settle orders with what is shipped as a result of contingencies.

5) Delivery terms are approximate and are never binding on the supplier company. Any delays or partial deliveries cannot give rise, on the part of the purchaser, to cancellation of the order, nor to any claim for damages or suspension of payments.

6)All goods are sold ex-works and all shipping and packing charges are therefore the responsibility of the Buyer.

7)Goods travel at the Buyer's risk even if sold ex works.

8) No claims will be accepted unless made upon receipt of the goods. Damage incurred in transit must be contested to the carrier in writing. A copy of the complaint must reach us for information within 8 days of receipt of the goods.

9) Complaint does not entitle to suspension of payments.

10) Returns of goods will not be accepted without our prior authorization. Authorized returns must be sent to us free port only.

11) The credit will be made only when the goods have been taken over by our warehouse and if the inspection shows that they are merchantable, it will be followed by a transfer equal to 80% of the invoiced price.

12) There will be no liability of the supplier company for damage to persons and/or property resulting from improper installation of the product.

13) Invoice payments must be made at our Venice office, in the form, manner and terms specified therein. Failure to pay authorizes us to suspend further shipments of material.

14) The warranty, both legal and contractual, is limited to the commitment to eliminate in the agreed warranty period defects dependent on bad quality of the material or construction defects with the exclusion of all liability for direct and indirect damages resulting from said defects.

15) For all legal effects the Court of Venice shall have jurisdiction.
